Terms of Service

Welcome to CueBoard. By accessing or using our services, you agree to be bound by these Terms of Service. Please read them carefully.
1. Definitions
1.1 "Confidential Information"
Means all information regarding a party's business, including technical, marketing, financial, employee, planning, and other confidential or proprietary information disclosed under this Agreement. Customer Data is the Confidential Information of Customer.
1.2 "Customer Data"
Means any information submitted by Customer through the CueBoard Service or provided by Customer to CueBoard as part of the Service, including support tickets, feedback, reviews, sales call transcripts, and other customer communications.
1.3 "CueBoard Service"
Means the online product intelligence platform delivered by CueBoard to Customer, including all features for aggregating, analyzing, and prioritizing customer feedback.
2. CueBoard Service
2.1 Subscription
Subject to the terms and conditions of this Agreement, CueBoard grants to Customer a non-sublicensable, non-transferable, non-exclusive subscription to access and use the CueBoard Service solely for Customer's internal business purposes and not for resale or to provide services to third parties.
2.2 Support
CueBoard shall provide support for the Services as set forth in your service agreement or order form.
3. Customer's Use of the Service
3.1 Access and Security
Customer is responsible for maintaining the confidentiality and security of their account credentials and for all activities that occur using their account. Customer agrees to promptly notify CueBoard of any unauthorized use of their account.
3.2 Restrictions
Customer will not, and will not permit any party to:
- Use the Service to harvest or collect information about other customers without consent
- Interfere with or disrupt the integrity or performance of the Service
- Reverse engineer, disassemble, or decompile any component of the CueBoard platform
- Sublicense any rights under this Agreement or use the Service for the benefit of a third party
- Modify, copy, or make derivative works based on any part of the platform
3.3 Integrated Channels
If Customer connects or integrates with any third-party application (such as Slack, Intercom, Zendesk, etc.), Customer represents that they are entitled to grant CueBoard access to such accounts without breach of any terms governing those services.
4. AI Processing
Customer acknowledges that CueBoard uses artificial intelligence to analyze customer feedback data. AI analysis may occasionally generate inaccurate insights, categorizations, or summaries. Customer agrees to review all AI-generated analysis before making business decisions based on such outputs.
CueBoard does not use Customer Data to train or improve AI models.
5. Fees and Payment
Customer will pay CueBoard the fees for the Service in accordance with the applicable order or subscription plan. Unless otherwise stated, all fees are billed in advance and are due within thirty (30) days of receipt of invoice.
CueBoard reserves the right to suspend access to the Service if any fees are more than thirty (30) days overdue.
6. Confidentiality
Each party agrees not to use or disclose to any third party any Confidential Information of the other party, except as expressly permitted under this Agreement. Upon termination of this Agreement, each party will return or destroy all copies of the other party's Confidential Information.
7. Data Ownership
7.1 CueBoard Platform
Customer acknowledges that CueBoard retains all right, title, and interest in and to the CueBoard platform and all proprietary technology used to deliver the Service.
7.2 Customer Data
Customer retains all right, title, and interest in and to Customer Data. Customer grants CueBoard a non-exclusive license to access and use Customer Data to provide the Service, and to use aggregated and anonymized data to improve the Service.
8. Term and Termination
Either party may terminate this Agreement upon written notice if the other party materially breaches the Agreement and does not cure such breach within thirty (30) days after written notice.
Upon termination, CueBoard will remove all Customer Data from the platform within 30 days, unless required to retain it by law.
9. Warranty Disclaimer
EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE CUEBOARD SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." CUEBOARD MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
10. Limitation of Liability
TO THE EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CUEBOARD BE LIABLE FOR SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES OR LOST PROFITS. CUEBOARD'S AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT OF FEES PAID BY CUSTOMER DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. General Provisions
This Agreement shall be governed by the laws of Delaware, without regard to conflicts of laws principles. This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements.
